1. General
1.1These Wholesale Sales Terms and Conditions (the "Terms") apply to every Order placed with the Seller and to every quotation, order confirmation, delivery and invoice relating to it. They form an integral part of the Order.
1.2Any general or particular purchasing conditions of the Buyer are expressly excluded, even if they are referred to on the Buyer's order documents and even if the Seller has not expressly objected to them.
1.3Any deviation from these Terms is valid only if agreed in writing and signed by a duly authorised representative of the Seller. A deviation agreed for one Order applies to that Order only.
1.4By ticking the mandatory acceptance box in the wholesale store, signing on screen and placing the Order, the Buyer confirms that it has read these Terms and explicitly accepts them; this electronic acceptance and signature have the same value as a handwritten signature. These Terms are reproduced in full in every order confirmation.
1.5The Buyer purchases the products exclusively for resale in the course of its professional activity. Consumer legislation does not apply.
1.6Nothing in these Terms obliges the Seller to pay any amount to the Buyer. The Seller never takes products back. The only remedy ever available to the Buyer is, at the Seller's sole choice, replacement or a credit note to be used on a future Order, under the strict conditions of articles 6 and 10. Cash refunds are excluded in all cases.
2. Orders
2.1An Order is binding on the Buyer as soon as it is placed. The Seller confirms the Order by means of an order confirmation stating the products, quantities, prices, currency, delivery term and delivery window. The order confirmation prevails over any earlier document. The Seller is bound only once it has issued the order confirmation and may refuse any Order without stating reasons and without compensation.
2.2The Buyer is solely responsible for the content of its Order (styles, colours, sizes, quantities, company data, delivery address). An Order placed in the wholesale store is final; errors made by the Buyer when ordering are never a ground for cancellation, return, exchange, credit or claim.
2.3The Buyer may cancel an Order, in whole or in part, free of charge within 10 calendar days of the Order date, by written notice (e-mail) to the Seller. Any change to an Order after that date is treated as a cancellation of the changed lines and a new Order.
2.4After this period, any cancellation or reduction of an Order by the Buyer, for whatever reason, entitles the Seller to a fixed indemnity of 50% of the value of the cancelled products, whether or not the deposit has been paid, without prejudice to the Seller's right to claim a higher damage. Once the products have been made available for delivery or invoiced, the full price of the cancelled products is due. Any deposit paid is set off against these amounts and is never refunded.
2.5A deposit of 30% of the Order value is payable at checkout or at the latest within 7 days of the date of the order confirmation. Non-payment or late payment of the deposit does not affect the validity of the Order: if the Seller allows the Order to proceed into production, the Order is confirmed and remains fully binding on the Buyer. The Seller may, at its discretion, suspend production or delivery until the deposit has been received. The deposit is non-refundable in all circumstances.
2.6The Seller reserves the right to accept an Order only in part, to apply a minimum order value or minimum quantities per style, and to refuse an Order from a Buyer whose account is overdue, without this giving rise to any compensation.
3. Delivery
3.1All products are sold and delivered Ex Works (EXW, Incoterms® 2020), the Seller's designated warehouse, as stated on the order confirmation. Transport, insurance, export and import formalities, customs duties, taxes and all other charges after the products have been made available are for the account and at the risk of the Buyer. The risk passes to the Buyer at the moment the products are made available to the Buyer or its carrier.
3.2Where the Buyer asks the Seller to arrange transport, the Seller does so as the Buyer's agent and at the Buyer's expense and risk; freight (UPS or another carrier) is charged at actual cost at the time of dispatch and does not alter the Ex Works delivery term. Loss, damage or delay in transit is never the Seller's responsibility; the Buyer addresses any claim directly to the carrier.
3.3The products of the SS27 season are delivered within the delivery window of 1 December 2026 to 30 April 2027, as stated on the order confirmation. Delivery dates within the window are indicative. Delivery within the window is the Seller's intention but is not of the essence; a delay never entitles the Buyer to cancel the Order, to refuse the products, to withhold payment or to claim damages or penalties.
3.4The Seller is entitled to make partial deliveries. Each partial delivery is invoiced separately and is payable in accordance with article 5. The Buyer cannot refuse a partial delivery or make its acceptance conditional on the delivery of the remainder.
3.5If the Buyer refuses to take delivery or fails to collect, accept or pay for the products within the agreed period, the full price of the products remains due; the Seller may in addition store the products at the Buyer's expense and risk, resell them without further notice and charge the Buyer the shortfall and costs, or cancel the undelivered part of the Order at the Buyer's expense under article 2.4.
3.6Products that cannot be delivered within the delivery window are dealt with in accordance with article 10 (credit note).
4. Prices and currency
4.1Prices are wholesale prices per unit, Ex Works, exclusive of VAT, customs duties, taxes, transport, insurance and packaging other than the Seller's standard packaging. The prices stated on the order confirmation apply; the Seller may correct manifest errors.
4.2Orders are denominated in EUR for Buyers established in a European country and in USD for Buyers established in all other countries. The Seller assigns each Buyer to the EUR or USD price list and may, at its sole discretion, change that assignment for future Orders. The Buyer cannot choose or change the currency of its Orders.
4.3Invoices are issued and payable in the currency of the Order. Exchange-rate differences, bank charges and local taxes or duties are never a ground for any claim, deduction or delay.
5. Payment
5.1Unless otherwise agreed in writing, each Order is payable as follows: 30% deposit in accordance with article 2.5, and the balance before the products leave the Seller's warehouse, against the Seller's invoice or pro forma invoice. Products are not released, and the Seller is not obliged to deliver, until the invoice has been paid in full and the funds have been received.
5.2Payment is made by bank transfer or by card through the wholesale store, in the currency of the invoice and without any deduction. All bank charges are for the Buyer's account. A card chargeback or payment reversal initiated by the Buyer is a breach of these Terms; the amount reversed remains due, increased by the costs and fees it causes and by the indemnity of article 5.3.
5.3Any amount not paid on its due date bears, automatically and without prior notice, interest at 1.5% per month from the due date until full payment, and is increased by a fixed indemnity of 15% of the outstanding amount with a minimum of USD 250 (or the equivalent in EUR). All costs of recovery, including collection agency and legal fees, are in addition for the Buyer's account.
5.4As long as any amount is overdue, the Seller may suspend all deliveries and all other Orders of the Buyer, cancel them at the Buyer's expense under article 2.4, and all outstanding invoices of the Buyer become immediately due.
5.5The Buyer is never entitled to set off, withhold, suspend or reduce any payment, for whatever reason, including on account of a claim under article 6 or a credit note under article 10.
6. Claims — no returns
6.1The Seller does not take products back. No product is accepted for return, exchange or re-stocking, for whatever reason, and products sent back to the Seller are refused or, at the Seller's choice, kept at the Buyer's disposal at the Buyer's expense for 30 days and then disposed of, without any credit.
6.2The Buyer inspects the products immediately on receipt. Only shortages and discrepancies between the delivery and the delivery note, and serious manufacturing defects that make a product unsaleable, qualify as a claim. They must be reported immediately and at the latest within 5 days of receipt, by registered mail or by e-mail with photographs, stating the invoice and delivery note numbers and the quantities concerned. After this period the delivery is irrevocably deemed accepted.
6.3Minor defects and minor deviations in colour, finish, measurements, weight or materials inherent to the manufacture of garments and accessories, differences between samples, pictures or line sheets and the delivered products, normal wear, incorrect care or storage, alterations and damage caused after delivery are never a defect and never give rise to a claim, credit or compensation. Products ordered in error by the Buyer, slow-selling products, products the Buyer no longer wants and products delivered in accordance with the Order are never accepted as a claim either.
6.4Products that have been resold, worn, washed, altered, relabelled or removed from their original packaging are deemed accepted. Hidden defects are not accepted after the period of article 6.2.
6.5If a claim is accepted, the Seller will, at its sole choice, either replace the unsaleable pieces with a following delivery or issue a credit note for the invoice value of those pieces only, to be used on a future Order. The pieces concerned stay with the Buyer and are destroyed or disposed of according to the Seller's instructions. No cash refund, no compensation for any other cost or loss and no further liability is ever owed. Unjustified claims are charged to the Buyer at a handling fee of USD 25 per piece plus all costs incurred. A claim never suspends the Buyer's payment obligations.
7. Retention of title
7.1The products remain the property of the Seller until all amounts due in respect of the Order and of any other Order of the Buyer, including interest, indemnities and costs, have been paid in full. Until then the Buyer stores the products in such a way that they remain identifiable as the Seller's property, keeps them insured for their full value and does not pledge or encumber them.
7.2The Buyer may resell the products in the ordinary course of its business; the proceeds of such resale are held for the Seller up to the amount outstanding and are assigned to the Seller on first demand. In case of non-payment the Seller may enter the Buyer's premises and take the products back at the Buyer's expense, without prejudice to its other rights.
8. Resale and brand
8.1The Buyer resells the DREAMCATCHER products exclusively to end consumers, through the points of sale and the websites approved by the Seller at the time of the Order. Sale through third-party marketplaces, discount outlets, wholesalers, flash-sale sites, social-media shops or any other channel not expressly approved in writing is not permitted, nor is resale to other retailers, distributors, agents or any trade buyer.
8.2The Buyer presents the products in a manner consistent with the image of a luxury brand, applies the recommended retail prices as a guideline and limits markdowns to the usual end-of-season sales periods. Products may not be offered at a markdown before the end of the season for which they were purchased.
8.3The DREAMCATCHER name, logos, images and campaign material remain the exclusive property of the Seller and may be used by the Buyer only for the resale of the products purchased, in the form supplied by the Seller and without alteration. Any other use, registration or imitation requires the Seller's prior written consent.
8.4Any breach of this article entitles the Seller to cancel all open Orders of the Buyer without compensation, to refuse future Orders and to claim a fixed indemnity of USD 5,000 per breach and per day the breach continues, without prejudice to its right to claim a higher damage and to injunctive relief.
9. Responsibilities
9.1The Seller's only obligations are those expressly set out in these Terms. To the fullest extent permitted by law, the Seller excludes all other warranties, express or implied, including as to merchantability, fitness for a particular purpose or sell-through. The Seller is never liable for indirect or consequential loss, including loss of profit, loss of sales, loss of goodwill, penalties imposed by the Buyer's customers or costs of recall, and the Buyer's only remedies are those of articles 6.5 and 10.3; the Seller never takes products back.
9.2The Buyer acknowledges that DREAMCATCHER products are produced in small series with hand-made finishing. The deviations described in article 6.3 are inherent to the products, do not constitute a defect and do not entitle the Buyer to refuse the products or to any claim.
9.3The Buyer is solely responsible for compliance with all import, labelling, consumer, data and resale regulations in the country where it sells the products, and indemnifies the Seller against any claim of a third party in that respect.
10. Force majeure and supply — credit note
10.1The Seller is not liable for any failure or delay in performing an Order caused by circumstances beyond its reasonable control, including but not limited to failure, late delivery or quality failure by a manufacturer or supplier of the Seller, shortage of fabrics or materials, strikes, epidemics, transport or customs disruption, governmental measures, fire, war or natural events (together "Force Majeure").
10.2If, because of Force Majeure or a failure of its manufacturers or suppliers, the Seller cannot deliver all or part of the Order or of its order book, even where the deposit or the price has been paid, the Seller may, at its sole choice, deliver the products later (within or after the delivery window), deliver the available part of the Order, substitute a product of equivalent quality or cancel the undelivered part, without being liable for any damage, loss of profit, penalty or compensation whatsoever.
10.3For products that are not delivered under article 10.2 or article 3.6, the Seller issues the Buyer a credit note for the amounts actually paid in respect of those products (deposit and/or price). The credit note is used, at the Seller's choice, against the Buyer's order for the following season or against in-season stock of the Seller where available; it is valid for 12 months from its date and lapses thereafter. The credit note is never refundable in cash, is not transferable and does not bear interest.
10.4The Seller will inform the Buyer as soon as reasonably possible of any Force Majeure or supply failure affecting its Order.
11. Modification
11.1The Seller may modify these Terms for future Orders. The version reproduced in the order confirmation applies to the Order concerned.
11.2Any waiver or tolerance by the Seller is never a waiver of its rights for the future.
12. Governing law and jurisdiction
12.1These Terms and every Order are governed by the laws of the Hong Kong Special Administrative Region, to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG).
12.2Any dispute arising out of or in connection with an Order or these Terms falls under the exclusive jurisdiction of the courts of Hong Kong. The Seller nevertheless remains entitled, at its sole choice, to bring proceedings against the Buyer and to enforce its rights before any other competent court, including the courts of the place where the Buyer is established or where its assets are located.
13. Nullity
13.1If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision is replaced by a valid provision that comes as close as possible to its economic purpose.
13.2These Terms are drawn up in English. Any translation is provided for convenience only; the English version prevails.
